The business of CLTV.ai is based on the development of the valuable intellectual property which is behind CLTV.ai’s unique learning and development solutions. Intellectual property (IP) and the rights in that property provide a basis for protecting CLTV.ai’s industry-leading ideas, designs, materials, information and branding; from software, profiles and the Personality Palette to reports, data and product names.
CLTV.ai owns various types of intellectual property (copyright, trademarks, database rights, confidential information and know-how) and provides wide and effective use of its intellectual property to all people within the CLTV.ai organization and those with whom CLTV.ai engages. With so many people involved or engaging with CLTV.ai globally, CLTV.ai needs to ensure that the ownership, integrity and value of its intellectual property rights is not prejudiced.
CLTV.ai’s intellectual property rights are protected by various means including national laws, international treaties, non-disclosure agreements (also known as confidentiality agreements), employment contracts, consultancy contracts and international trade mark and domain name registrations.
This policy is supplementary to these protections and it is a condition of relevant contracts entered into by CLTV.ai that those who use and create CLTV.ai’s intellectual property will adhere to this policy. Any breach of the policy will be taken seriously and may result in appropriate legal action.
In simple terms, the protection of CLTV.ai’s intellectual property means that it is unlawful for anyone to use, copy or modify our intellectual property without permission. This extends to, for example, another person using a trade mark which is confusingly similar to one that belongs to CLTV.ai, or copying a significant part of copyright material.
Of course, in expecting others to respect CLTV.ai’s rights in its intellectual property, it is imperative that Insight’s respect the rights of others in their own intellectual property.
Different countries’ laws vary on each type of intellectual property, but in essence the rights are broadly the same in most countries where CLTV.ai is active.
Creation & Ownership
CLTV.ai owns the rights to its existing intellectual property. We are also constantly developing new intellectual property and CLTV.ai continues to make a very substantial investment in intellectual property.
CLTV.ai carries on activities globally through group companies, partners and licensees, distributors and licensed practitioners and other third parties where appropriate. Intellectual property generated by any of them under the CLTV.ai brand belongs to CLTV.ai unless otherwise explicitly agreed in writing.
Product development by contacts can be allowed in principle provided this is agreed in advance on a case by case basis including clear agreement on IP ownership and commercial arrangements to reward development. The same conditions apply to customisation and modification of IP. Copies of all such materials must be provided to CLTV.ai for review and approval prior to use with any other client, by any other member of CLTV.ai or by any other duly authorized Licensees, Distributors, Licensed Practitioners or consultants.
CLTV.ai will retain the right to approve all materials for quality purposes and can instruct the withdrawal of any materials CLTV.ai deem unfit for purpose. Where formal agreement has not been reached in advance all rights, title and interest in all such newly developed or created materials shall be held by CLTV.ai.
CLTV.ai, its various interactive media and content, including PERSONALITY PALETTE, were originated by the team behind CLTV.ai.
Licensing
The legitimate use of intellectual property rights owned by CLTV.ai by other parties is only acceptable under a license or other written permission granted by CLTV.ai.

Infringement
CLTV.ai has a zero tolerance policy towards intellectual property infringement. Examples of infringement include:
Unauthorized use of any of our trade marks (names or logos) or any mark which is similar, and therefore likely to mislead the public into thinking that the unauthorized user is somehow associated with CLTV.ai.
Unauthorized use or copying of any of CLTV.ai materials protected by copyright, such as learning materials, profiles, software etc.
Disclosure of confidential information, business planning information and other information which is commercially sensitive or which is confidential between CLTV.ai and our clients.
Intellectual Property Security
CLTV.ai will ensure that appropriate security measures are taken against the creation, use and disclosure of valuable intellectual property without appropriate protection in place.
Ensuring intellectual property rights are secure means guaranteeing the confidentiality, protection, development and ownership of intellectual property, defined as follows:
Confidentiality means that only people who are authorized to use confidential information have access to it.
Protection means the legal protection necessary to safeguard ownership of intellectual property rights for CLTV.ai.
Development means that licensees should be able to use intellectual property owned by CLTV.ai for authorized purposes and develop that intellectual property for the benefit of CLTV.ai.
Ownership means that all intellectual property developed under a license granted by CLTV.ai is properly reported so that CLTV.ai can take measures to secure the legal ownership of that intellectual property.
Security procedures include:
Non disclosure agreements – any person or company who CLTV.ai wishes to provide valuable information to is required to sign a non disclosure agreement.
CLTV.ai licenses – all parties working with Insight’s materials that are protected by copyright are required to enter into a license which provides that existing intellectual property owned by Insight’s, and intellectual property developed in the course of the license, are owned by CLTV.ai.
Methods of disposal – paper documents containing valuable information should be shredded. Floppy disks and CD-ROMs should be physically destroyed when they are no longer required.
Administration
CLTV.ai will maintain an administrative procedure for handling all matters arising out of the policy and will maintain records of developments, licenses, non-disclosure agreements and potential infringements within the scope of this policy. CLTV.ai will implement the terms of this policy in employment contracts, non-disclosure agreements, licenses and other contracts with third parties.
Intellectual Property of Others
As a responsible, professional business with a hard-earned reputation for business integrity, CLTV.ai will not tolerate any infringement of the intellectual property of others, any more than we would tolerate others infringing our intellectual property.
